In compliance with Brazilian legislation and the Sarbanes-Oxley Act, Ultrapar maintains a permanent Fiscal Council, reporting to shareholders, which also acts as an audit committee. The Fiscal Council is composed of five members.
In 2007 the Fiscal Council met thirteen times. In order to obtain SOX certification in June 2007, the Fiscal Council carried out intensive work together with Ultrapar’s internal Audit Department, which supervised the work for the certification of controls under the Sarbanes-Oxley Act.

From 1998 to 2001 Mr. Maia was executive director and Vice-President of the board of directors at Eletropaulo. From 1976 to 1998 he worked at Duratex, where he occupied the Executive Vice-President position from 1993 to 1998.
Edson Pena Júnior

Retired from Banco do Brasil. Mr. Pena also acted as Member of the Consultant Board of Cooperativa Vinícola Aurora, Assistant of Officer Board of Banco do Brasil, Member of Fiscal Council of Banco do Brasil — BI Kepler Weber and Internal Audit Executive Manager of Banco do Brasil. Mr. Pena received a degree in accounting from UNICEUB – Brasília.
Mário Probst

Accountant and business administrator, currently retired, Mr. Probst was a partner at KPMG Auditores Independentes from 1991 to 2004. Mr. Probst is a member of the Executive Board at Fundação Viconde de Porto Seguro and member of Fiscal Council at Hospital Alemão Oswaldo Cruz.
Raul Murgel Braga

Lawyer, Mr. Braga worked as legal consultant at Ultra Group until 1992 and at Getec Group until 1997. He was also President of the Fiscal Council at Copene - Petroquímica do Nordeste S.A. and Globex, until March, 2002 and April, 2005, respectively.
Wolfgang Eberhard Rohrbach

Economist, Mr. Rohrbach is investments controller at Monteiro Aranha Group, and member of the Fiscal Council of its affiliates, including Klabin. Mr. Rohrbach was member of the Fiscal Council at Ericsson, where he carried out the implementation of the Audit Committee. Mr. Rohrbach was also controlling manager at Volkswagen do Brasil.
Mr. Monteiro de Carvalho
joined Ultrapar in December 2002 as a member of
the board of directors. He is chairman of the
board of directors of Monteiro Aranha S.A. and
a member on the board of Klabin S.A.. He is also
a member of the Brazil-United States Business
Council, member of the Brazil-Japan Conceptual
Group and member of the board of Ad-Rio - Agência
de Desenvolvimento Econômico do Estado do
Rio de Janeiro (the Rio de Janeiro State Development
Agency). He holds a mechanical engineering degree
from Technische Hochschule in Munich.
